2. Registering, passwords and responsibilities

When you sign up to become a Member, You are responsible for maintaining the confidentiality of your login names and passwords and you accept responsibility for all activities, charges, and damages that occur under your account. We strongly recommend that you do not share password to anyone. Moreover, you should remember to sign out or log off your account whenever you mean to interrupt the use of Softdossier Services, regardless of the duration of your absence. If you have reason to believe that someone is using your account without your permission, you should contact us immediately. We will not be responsible for any loss or damage resulting from your failure to notify us of unauthorized use. Also, it is advisable that you close the session window of your browser, especially if you accessed the Website from a public Internet cafe, for example. You are solely responsible for any and all use of your account. You agree not to use the account, username, or password of another Member at any time or to disclose your password to any third party. 
You acknowledge that all information sent to us is on your own risk. Do not upload copyrighted, obscene or any other material which violates Softdossier 's Terms of Use. By clicking "Upload", you are representing that this item does not violate Softdossier 's Terms of Use and that you own all copyrights in this item or have express permission from the copyright owner(s) to upload it. Content may be provided to and appear on Softdossier as graphics, images, digital files, software or in other format (collectively, "Submissions"). 

Softdossier does not endorse any Submissions that may appear on or through the Service and makes no warranties, express or implied, as to their accuracy and reliability. Softdossier expressly disclaims any and all liability in connection with any and all such Submissions. Softdossier will never ask for your profiles' passwords through unsolicited messages or e-mails. 

Unfortunately, no data transmission on the Internet can be 100% secure. Consequently, despite our efforts to protect personal information, Softdossier cannot ensure or guarantee the safety of any transmission whatsoever. 

3. Intellectual property protection
Softdossier content and web-design, as well as any other data related to the Website, that we may send to you by e-mail or other means, including news content are protected by the international copyright laws. Unauthorized use of the trademarks or any other Softdossier content included in the Website is strictly prohibited. 
Individuals who believe they have identified a case of copyright of intellectual property infringement in materials available on Softdossier and wish to have that content removed may contact Softdossier by email and submit a request conforming to the DMCA guidelines. 

In essence, the request must at least contain: 
(1) Sufficient information to identify and contact the holder of the allegedly infringed rights or its authorized agents (complaining party);
(2) Sufficient information to identify the infringed intellectual property (preferably a list of URLs on site(s) under the copyright holder's control);
(3) Sufficient information to identify the location on the Softdossier site where the infringement took place (a list of URLs on site);
(4) Clear statements in the effect of the complaining party having a good faith belief that use of the allegedly infringed intelectual property is not authorized by the copyright owner, its agent, or the law, and that the information in the request is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. 

Softdossier will take into consideration, analyze and reply to all such requests or ask for additional information if the submitted requests do not comply with the above guidelines. 

4. Non-commercial Use
The Softdossier Services are for the personal use of Members only and may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by Illegal and/or unauthorized use of the Softdossier Services, including collecting usernames and/or e-mail addresses of Members by electronic or other means for the purpose of sending unsolicited email or unauthorized framing of or linking to the Softdossier Website is prohibited. Commercial advertisements, affiliate links, and other forms of solicitation may be removed from Member profiles without notice and may result in termination of Membership privileges. Appropriate legal action will be taken for any illegal or unauthorized use of the Softdossier Services.

5. Proprietary rights in Content posted by users
Softdossier becomes the owner of the texts that you post on the forums, reviews, comments and alike, as soon as you post them, but we do not claim any ownership rights in the photos, software or any other materials (collectively, "Content") that you post to the Softdossier Services. After posting your Content to the Softdossier Services, you continue to retain all ownership rights in such Content, and you continue to have the right to use your Content in any way you choose. By displaying or publishing ("posting") any Content on or through the Softdossier Services, you hereby grant to Softdossier an un limited license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content solely on and through the Softdossier Services. 

You represent and warrant that: 
a) you own the Content posted by you on or through the Softdossier Services or otherwise have the right to grant the license set forth in this section;
b) the posting of your Content on or through the Softdossier Services does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or entity. You agree to pay for all royalties, fees, and any other sums of money owing any person by reason of any Content posted by you to or through the Softdossier Services. 

When you consider that an infringement of your copyright or of your image took place, you are to address to a legal authority if you wish to have access to any available personally identifiable data of that user. Only if we have its official decision we are allowed to offer you the personal data of the assumed guilty user, according to the Law. For infringing content removal see Section (3) above.

6. Content posted on the Website by users
Some of the Services may allow you to submit or transmit audio, video, text, or other materials (collectively, "User Submissions") to or through the Services. When you provide User Submissions, you grant to Softdossier, its parent, subsidiaries, affiliates, and partners a non-exclusive, worldwide, royalty-free, fully sublicenseable license to use, distribute, edit, display, archive, publish, sublicense, perform, reproduce, make available, transmit, broadcast, sell, translate, and create derivative works of those User Submissions, and your name, voice, likeness and other identifying information where part of a User Submission, in any form, media, software, or technology of any kind now known or developed in the future, including, without limitation, for developing, manufacturing, and marketing products. You hereby waive any moral rights you may have in your User Submissions.
We respect your ownership of User Submissions. If you owned a User Submission before providing it to us, you will continue owning it after providing it to us, subject to any rights granted in the Terms and any access granted to others. If you delete a User Submission from the Services, our general license to that User Submission will end after a reasonable period of time required for the deletion to take full effect. However, the User Submission may still exist in our backup copies, which are not publicly available. If your User Submission is shared with third parties, those third parties may have retained copies of your User Submissions. In addition, if we made use of your User Submission before you deleted it, we will continue to have the right to make, duplicate, redistribute, and sublicense those pre-existing uses, even after you delete the User Submission. Terminating your account on a Service will not automatically delete your User Submissions.
We may refuse or remove a User Submission without notice to you. However, we have no obligation to monitor User Submissions, and you agree that neither we nor our parent, subsidiaries, affiliates, employees, or agents will be liable for User Submissions or any loss or damage resulting from User Submissions. Softdossier assumes no responsibility for monitoring the Softdossier Services for inappropriate Content or conduct. 

If at any time any third person claims that Softdossier users committed any sort of infringement to their rights and image, by the Content posted, they are to address authorities. Otherwise, Softdossier assumes no obligation to modify or remove any inappropriate Content.
Except as provided in the Privacy Policy, we do not guarantee that User Submissions will be private, even if the User Submission is in a password-protected area. Accordingly, you should not provide User Submissions that you want protected from others.
You represent and warrant that you have all rights necessary to grant to Softdossier the license above and that none of your User Submissions are defamatory, violate any rights of third parties (including intellectual property rights or rights of publicity or privacy), or violate applicable law.

7. Third-Party Content
We occasionally provide third party content or link to third party websites on the Services. We do not necessarily endorse or evaluate third party content and websites, and we do not assume responsibility for third parties' actions or omissions. You should review third parties' terms of use and privacy policies before you use their services.

8. Fee-Based Services
If you accept fee-based products or features, you agree to the terms and conditions governing all such purchases, including all requirements to pay applicable fees and charges. We will notify you of any changes to fees and charges.
We may offer trial subscriptions to paid services for free or at special discounted prices. Unless otherwise stated, these trial subscriptions and any other subscription services we provide will be automatically renewed at the current subscription rate if you do not cancel before the end of the trial or subscription period. You may need to cancel your subscription at least 10 days prior to its renewal date in order to avoid further charges.
Unless otherwise stated, all fees and charges are non-refundable, including for unused portions of cancelled subscriptions. We do not provide price protection or refunds in the event of a price drop or promotional offering.

9. Acceptable Use
The Services have been designed to present Content in a unique format and appearance. Unless we give you permission, you agree not to access the Services using any interface other than ours. - Violate any person's or entity's legal rights (including, without limitation, intellectual property, privacy, and publicity rights), transmit material that violates or circumvents such rights, or remove or alter intellectual property or other legal notices;
- Transmit files that contain viruses, spyware, adware, or other harmful code;
- Advertise or promote goods or services without our permission (including, without limitation, by sending spam);
- Interfere with others using the Services or otherwise disrupt the Services;
- Transmit, collect, or access personally identifiable information about other users without the consent of those users and Softdossier ;
- Engage in unauthorized spidering, "scraping," or harvesting Content, contact or other personal information, or use any other unauthorized automated means to compile information;
- Impersonate any person or entity or otherwise misrepresent your affiliation or the origin of materials you transmit; or
- Defeat any access controls, access any portion of the Services that we have not authorized you to access (including password-protected areas), link to password-protected areas, attempt to access or use another user's account or information, or allow anyone else to use your account or access credentials.

10. Site Access; Account Deletion
We may take any of the following actions in our sole discretion at any time and for any reason, with or  without giving you prior notice:
- Restrict or terminate your access to the Services;
- Change or discontinue the Services;
- Deactivate your accounts and delete all related information and files in your accounts;
- Provide information concerning you and your activities to comply with applicable laws or respond to court order, subpoenas, or other lawful requests, or if we believe doing so would protect your safety or that of another person or protect the security of the Services, or as otherwise described in the Privacy Policy.
We will not be liable to you or any third party for taking any of these actions and we will not be limited to the remedies above if you violate these Terms. Once your Account is terminated you agree not to post on the message boards, or to assist or cause another person to post messages on your behalf. Even after Membership is terminated, this Agreement will remain in effect.
If you do not agree to these Terms, you should immediately stop using the Services. If you want to delete your account on a Service, please use contact instructions posted on the Service at which you obtained the account. Any User Submissions you made while using the Services will continue to be governed by Section 6 of these Terms.
These Terms will survive any termination of your access to the Services, whether we terminate your access or you voluntarily discontinue your use.

11. Prohibited activities
The following is a list of the kind of Content that is illegal or prohibited to post on or through the Softdossier Services. reserves the right to investigate and take appropriate legal action against anyone who, in Softdossier's sole discretion, violates this provision. Prohibited Content (the list is not limited and can at any time be subject to alteration by Softdossier at its sole discretion) includes content that:

- exploits people in a sexual or violent manner; 
- contains nudity, violence, or offensive subject matter or contains a link to an adult website; 
- promotes information that you know is false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous; 
- promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, or providing pirated music or links to pirated music files; 
- involves the transmission of "junk mail," "chain letters," or unsolicited mass mailing, instant messaging, "spimming," or "spamming"; 
- furthers or promotes any criminal activity or enterprise or provides instructional information about illegal activities including, but not limited to making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses; 
- solicits passwords or personal identifying information for commercial or unlawful purposes from other Users; 
- involves commercial activities and/or sales without our prior written consent; 
- covers or obscures any of the Softdossier marks when using Softdossier services;
- is automatically created by any sort of script meant to add friends or send comments or messages; 
- involves using the account, username, or password of another Member at any time;
- means in any way using the Softdossier Services in a manner inconsistent with any and all applicable laws and regulations.

12. Privacy
The information that you provide us about you will solely be used in accordance with the terms of our Privacy Policy. 

13. Force majeure
Softdossier and its collaborators and affiliates cannot be held responsible for any delay or malfunction brought about directly or indirectly by causes that exceed Softdossier 's free will. This includes, but is not limited to: malfunctioning of Softdossier technical equipment, broken connection to Internet or telephone lines, computer viruses, unauthorized access to Softdossier system, operation errors, strike etc.

14. USE OF THIS SITE/ Liability Disclaimer
The information, services and products available to you on this Web site may contain errors and is subject to periods of interruption. While Softdossier  does its best to maintain the information, services and products it offers on the Web site, it cannot be held responsible for any errors, defects, lost profits, or other consequential damages arising from the use of this Web site. Softdossier is not responsible for any inaccurate content, whether it is caused by Users or by any equipment or malfunction related to Softdossier Services. Moreover, Softdossier is not responsible for the functioning of any of the links to related websites (including ease of downloading programs, procedure to follow in order to buy any item). 
Softdossier  cannot and does not guarantee or warrant that files available for downloading through the SITE will be free of infection or Viruses,Worms, Trojan horses or other code that manifest contaminating or destructive properties. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for accuracy of data input and output, and for maintaining a means external to the SITE for the reconstruction of any lost data.

15. Indemnification
You will defend, indemnify, and hold harmless Softdossier , its parent, subsidiaries, affiliates,  its officers, directors, owners, employees, agents, licensors, suppliers and any third party information providers to the Softdossier and the directors, shareholders, vendors, partners, contractors, agents, licensors or other representatives of each of them and all of their successors and assigns (collectively, the "Softdossier Parties") with respect to all claims, costs (including attorney's fees and costs), damages, liabilities, and expenses or obligations of any kind, arising out of your use of the message boards on Softdossier Website, the violation of these terms and conditions by you, or in connection with your use or misuse of the Services (including, without limitation use of your account, whether or not authorized by you, and claims arising from User Submissions) the infringement by you, or other user of the message boards using your computer, of any intellectual property or other right of any person or entity.
